1. Acceptance of Terms

By accessing or using Carbon ("the Service"), operated by Applied Research & Computing, Corp. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Carbon is a team-based platform for instrument control, data acquisition, and analysis. The Service includes web-based tools, APIs, compute resources, and storage provided on a subscription basis.

3. Accounts and Teams

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Teams are managed by their owners, who may invite or remove members and assign roles.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload content that is malicious, infringing, or violates third-party rights
• Resell or redistribute the Service without written permission

5. Subscriptions and Billing

Paid plans are billed on a recurring basis. You authorize us to charge your payment method for the applicable fees. Pricing may change with 30 days' notice. Refunds are provided at our discretion. Usage beyond plan limits may incur additional charges if on-demand billing is enabled.

6. Intellectual Property

You retain ownership of all data and content you upload to the Service. We retain ownership of the Service itself, including all software, design, and documentation. You grant us a limited license to host and process your content solely to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We process data as described therein.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations.

11. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on the Service or by email. Continued use of the Service after changes constitutes acceptance of the new terms.
